TERMS OF USE

(NEM:RECALL)

These Terms of Use (“Terms”) constitute a legally binding agreement between Neksai Inc. (“Neksai,” “we,” “us,” or “our”) and you (“you” or “User”). These Terms govern your access to and use of NEM:RECALL, including all related software, websites, digital content, and community features (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.

1. The Service

NEM:RECALL is an online game platform that may include software, digital content, online features, community functions, and related services. We may modify, suspend, or discontinue the Service (in whole or in part) at any time, with or without notice.

2. Eligibility and Accounts

You must be at least 18 years old (or the age of majority in your jurisdiction) to use the Service. You are responsible for: maintaining the confidentiality of your account credentials; and all activity occurring under your account, whether authorized or not. Neksai is not liable for unauthorized access unless caused by our gross negligence. You may not: share, sell, or transfer your account; impersonate others; use the Service where prohibited by law; and use offensive or misleading usernames. We may suspend or terminate accounts that violate these Terms.

3. License

Subject to these Terms, Neksai grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for personal, non-commercial entertainment purposes. The Service is licensed, not sold. No ownership rights are transferred to you.

4. Acceptable Use

You agree not to: cheat, exploit bugs, or use unauthorized software (including bots or hacks); reverse engineer, decompile, or attempt to extract source code; interfere with the Service’s operation or security; circumvent DRM or server protections; access the Service through automated means or scrape, harvest, or extract data without authorization; and harass, threaten, or abuse others. We may investigate and take appropriate action, including suspension or termination.

5. Virtual Items and Currency

The Service may include virtual items or virtual currency (“Virtual Items”). You acknowledge that: virtual Items are licensed features, not owned property; Virtual Items have no real-world monetary value; and virtual Items are non-refundable, except as required by law. We may modify or remove Virtual Items at any time.

6. User Content

If you submit content (e.g., feedback, comments, or in-game creations): you grant Neksai a non-exclusive, worldwide, perpetual, royalty-free license to use such content in connection with the Service; and you represent that you have the right to submit the content. We are not responsible for user-generated content.

7. Intellectual Property

All rights in the Service—including software, characters, artwork, story content, trademarks, and in-game items—are owned by or licensed to Neksai. You may not copy, modify, distribute, or exploit any part of the Service except as expressly permitted.

8. Privacy

Our collection and use of personal information are governed by our Privacy Policy, which forms part of these Terms.

9. Disclaimers

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEKSAI DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not guarantee that the Service will be uninterrupted or error-free.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: NEKSAI SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. NEKSAI’S TOTAL LIABILITY SHALL NOT EXCEED USD $500 OR THE AMOUNT YOU PAID TO NEKSAI IN THE THREE (3) MONTHS PRIOR TO THE CLAIM, WHICHEVER IS LOWER.

11. Indemnification

You agree to indemnify and hold harmless Neksai from claims arising out of: your use of the Service; your violation of these Terms; and your violation of applicable law or third-party rights.

12. Termination

We may suspend or terminate your access at any time for violation of these Terms or for any lawful reason. Upon termination, your license ends immediately. Sections relating to intellectual property, disclaimers, limitation of liability, indemnification, and dispute resolution shall survive termination

13. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-law rules. Except where prohibited by applicable consumer law, any dispute shall be finally resolved by confidential, individual arbitration in a forum designated by Neksai.

14. Changes to Terms

We may update these Terms from time to time. Continued use of the Service after changes become effective constitutes acceptance.
